Simon Wesley, 58, has joined the Lyon offices of Bignon Lebray & Associates as Of Counsel in February. He is lawyer at the Bar of Lyon and Solicitor (England & Wales).

Simon Wesley has developed his activities in France as well as in the United Kingdom. His clients are Anglo-Saxon law firms and industries involved in numeric TV, scientific instruments, medical care, toys and textile.

His specific skills cover following fields :
- international agreements (supermarkets, trade jobs, sale)
- setting up in France of firms or daughter companies of foreign groups and legal management of such entities
- work agreements, mass redundancy proceedings, social litigations
- judicial litigation, questions of applicable law and international competent jurisdiction
- alternative ways of resolution of litigations / international type ADR
- international law risk management / relationships with foreign law firms

Simon has been teaching for many years as a Professor of English Law at the French University of Paris, Lyon, Tours and Montpellier.

Simon Wesley began his career at the offices of Denton Hall & Burgin in London. He then worked as an associate for several Paris law firms : Clifford Turner, Marriott Harrison, Jeantet, and as a partner for Bignon Lebray where he was in charge of the development of international relationships. He then worked as a partner and “Special counsel” for Colbert Avocats, before joining us again at Bignon Lebray as Of Counsel.

Yohann Toreau has joined our Paris offices as of counsel. He has been assisting major and medium-sized companies for ten years, as an adviser as well as in litigation cases. His skills are Competition, Distribution, and Sales Promotion Law.

He developed his activity mainly in the following specific fields :

- notification of merger transactions to competent authorities (national and European) in various sectors, such as supermarket distribution, construction, and agriculture ;
- suppliers-distributors relationships, in particular in the supermarket sector ;
- the setting up of distribution networks ;
- litigations in case of sudden breach of commercial relationships ;
- sales promotion, organizational or litigious aspects (relationships with French Regulatory Authority (DGCCRF), criminal litigations).

Yohann began his career in 2000 as an associate with Archibald law firm in Lyon and then in Paris. By the end of 2004, he joined Renaudier law firm as an associate and became a partner in 2008.

We are pleased to announce the arrival of Xavier Langlois-Berthelot in our Lyon office

Xavier Langlois-Berthelot, member of the Lyon Bar, holds a Masters in Business Law (1984) from Université Paris II as well as a LLM (1986) from Mc GILL University – Montréal and a Master 2 in health law IFROSS (2005) from the Université Lyon III.

Xavier Langlois-Berthelot has worked for major international groups such as Aerospatiale, Club Méditerrannée, or TOTAL from 1990 to 1994, as corporate counsel, which enabled him to develop an expertise in the area of international contract law.

He then spent 15 years within MERCK KGaA, a pharmaceutical laboratory whose French head office is located in Lyon. This experience has allowed him to acquire strong expertise in the area of pharmaceutical and health law, while advising in French or in English.

We are pleased to announce the arrival in our Paris office of Arnaud TESSALONIKOS, member of the Paris Bar.

He has joined our firm as head of the Intellectual Property & Advanced Technology practice group.

Arnaud TESSALONIKOS, 38, graduated from the University of Paris II. He holds a DESS in Arbitration and Expertal Methods in Computer Science and Associated Techniques.

He began his career in 1996 as a consultant in a company whose experts are registered with the French Supreme Court in the field of computer science, before joining French and anglo-saxon law firms specialized in information technology, electronic communication, networks, internet & intellectual property laws.

Arnaud TESSALONIKOS advises, represents and defends players in the sector of advanced technologies, and the purchasers of products and services in these industries. Furthermore, he helps his clients identify and capitalize on any intangible assets that are generated, constitued or acquired by their companies.

We are pleased to announce the arrival of Xiao Lin FU-BOURGNE in our Paris office

Originally from China and living in France since 1985, Xiao Lin Fu-Bourgne completed her law studies in Paris. Since her admittance to the Paris Bar in 1998, she counsels companies in litigious and non-litigious matters. She is particularly involved in the domain related to Chinese investments in France and vice versa. Her main areas of competence involve assistance on contract negotiation, management of mixed fund companies and advising in litigations involving French and Chinese companies.

We are pleased to announce the election of Jacques Goyet, Attorney-at-law member of the Paris Bar, as President of the Board of Directors.

 

Jacques Goyet, 49 years, attorney-at-law, graduated from the Ecole Supérieure de Commerce of Rouen. He holds a Master’s Degree from the University of Paris II, and a D.E.A. in European Community Law from the University of Paris I. He has succeeded Xavier Lebray as President of the Board of Directors. A member of the Paris Bar since 1985, Jacques Goyet has been a partner of our law firm for almost 19 years.

 

His main fields of expertise encompass all aspects of financial law such as mergers & acquisitions, private equity matters, and corporate governance. Jacques Goyet counsels listed and non-listed companies as to their restructuring and long term financing transactions. He also advises clients in litigations that specifically require his know-how in the areas of asset and liability guarantee agreements, earnout agreements and shareholders agreements.

We are pleased to announce the nomination of Jérôme GRANOTIER as a partner.

 

Jérôme Granotier, 37 years, joined the Tax Department of BIGNON LEBRAY & ASSOCIES in 2001. He has reinforced the expertise of our firm in tax matters with regards to the restructuring of companies (mergers, acquisitions, liquidations...) and taxation of grouped companies (tax consolidation, intra group transactions, cash repatriation …).

 

Being specialised in personal property taxation, Jerome Granotier advises corporation managers, at national and international levels, as to the organisation and transfer of their assets. He also advises non French resident individuals with regards to the structuring of their real estate investments in France.

 

After lecturing for many years at the University of Evry Val d’Essonne in the areas of Corporate Tax Law, Jérôme Granotier has held various conferences and seminars in Paris and Lille, which deal with the issue of personal property structuring and presents the latest tax law updates.

 

Jérôme Granotier holds a DJCE-DESS in Business and Tax Law from the University of Poitiers (1995) and a specialization certificate in tax law from the University of Montpellier.

Bruno Lefébure was elected on the Board of the China Department of the French Foreign Trade Advisers. In the presence of his Excellence, the Ambassador of France in China and Minister Adviser for Economic Affairs, Bruno Lefébure, the partner in charge of our office in Shanghai, was elected on the Board of the China Department of the French Foreign Trade Advisers. Furthermore, Xavier Lebray and Bruno Lefébure were elected on the Management Committee of the Franco-Chinese Association for the Economical Law .

Two acknowledgements of our firm’s commitment to the business world and field of French law in China.

Jean-Paul Bignon was elected chair of the Meritas board of Directors, an international network of lawyers with over 164 firms located in more than 64 countries and encompassing more than 6,500 lawyers.

 

Since its creation nearly 20 years ago, Meritas has always been chaired by North-Americans, and for the very first time it is to be chaired by a European lawyer situated in a country of civil law. Jean-Paul Bignon will replace Ken Kallish, a partner at the Canadian Law firm Minden Gross, and will serve in this elected position for a duration of two years starting from April 2009.

 

Jean-Paul Bignon is currently a partner at Paris based BIGNON LEBRAY & ASSOCIES. He advises medium-sized and major companies and defends their rights in the case of litigation, more precisely in the real estate and commercial domains.

 

After completing a DEA in Civil Law and a LLM received at the University of New York, Jean-Paul Bignon then joined the American Law Firm Dewey Ballantine, before becoming a law manager at Schlumberger.  He then joined BIGNON LEBRAY & ASSOCIES in 1987.

 

He is a member of the Paris and New York Bars. Since 2001 he is the Mayor of Bermesnil.

Philippe Woerner is elected Member of the Management Committee. He will share his responsibilities along with Rémi de Gaulle and Xavier Lebray assisted by Catherine Sauvat for a duration of three years. Philippe Woerner, 53 years old is an attorney at law at the Lyon bar since 1991, and has been a partner of the firm for nearly 18 years. He is based in Lyon where he practices his activity within the mergers, acquisitions and corporate law and Tax law departments. Holder of a DESS in Business Law and a DJCE, he assists a French PME clientele with fusions acquisitions, company law, taxation and contract law. He mainly deals with private clinics.

On the 31st January 2008, the AIMTPAS association (l'Association Interprofessionnelle de Médecine du travail du Pays d'Aix et de Salon), elected Rémi de Gaulle as their chairman. The AIMTPAS was founded in October 1996 by 3 business managers. This occupational health services department assures the healthcare of 23000 employees over 7 medical centers.

We are pleased to announce that we have appointed 5 partners who took up their duty as of the 1st January 2008. BIGNON LEBRAY & ASSOCIES now has 40 partners.

 

Claire Baufine-Ducrocq, 36 years old, began her career within the firm 11 years ago. Her main areas of work are based on corporate law and more particularly mergers and acquisition operations, restructuring and corporate finance.

Delphine Nowak, 36 years old, joined the firm in 2003 (when Denis Lequai joined Bignon Lebray & Associés as a partner and with whom she worked for 6 years). Delphine’s skills in distribution and competition law were gained when she successfully advised an important international group.

Matthieu Lochardet is 35 years old. His main areas of work are based on financial operations (capital risk, LBO, capital development, debt) and corporate restructuring. He intervenes on investment funds and assists company directors with acquisition and patrimonial solutions.

Sébastien Rodriguez, 35 , is specialised in French and international employment law (labor contracts, breach of contract, litigation, salary, social security and benefits, retirement, shareholding and contingency) and in the social and tax aspects of international transfers. He will play a key role in the continuing development of BIGNON LEBRAY & ASSOCIES international mobility department.

Yan Freyria-Courtois, is 34 years old. His work is mainlyfocused on corporate and tax law. He especially advises corporations and their directors and shareholders (in a national or international context) on company transfers, acquisition, restructuring and development by private equity or syndicated bank financing.

Amongst the five new partners are two women, one of which began her career at the firm. BIGNON LEBRAY & ASSOCIES therefore wishes to underline the fidelity of its associates and the firm’s willingness to develop new skills when faced with a constantly evolving market.

Last November 30, at the Palais des Congrès, Stéphane Couchoux opened the National Forum of Associations and Foundations, Second Edition by hosting a seminar on the following issue 'How can an association become a public utility foundation?'

Almost 400 participants attended the conference, mostly members of associations who were determined to find out about the advantages of the 'FRUP' (Fondation Reconnue d'Utilité Publique), a state-approved public utility foundation. The 5 lecturers, among whom the head of the office in charge of 'Interest Groups and associations' at the Ministry of the Interior, shared their views on the change of legal status.

The second edition of the Forum was highly successful; more than 2500 people registered to participate in the different workshops and conferences.

Stéphane Couchoux has joined BIGNON LEBRAY & ASSOCIES as a partner. He will be in charge of developing the Corporate Foundations service line.

 Stéphane Couchoux specializes in law and taxation of not-for-profit organizations (organismes sans but lucratif - OSBL). In this regard, he assists corporate officers and managers in the implementation of their corporate sponsorship and foundation projects. He also advises the directors and officers of not-for-profit organizations (i.e. associations, foundations, professional organizations, mutual insurance companies, provident societies, etc…) with regard to any related legal issues (i.e. the setting up of organizations; drafting of the bylaws and articles of association, restructuring, training, etc) and tax questions (including diagnostic reviews of tax compliance, the certification of “not-for-profit” and “sponsor” status and assistance with regard to tax audits, etc…).

Stéphane Couchoux began his career in 1994 with FIDAL before joining the law firm of ERNST & YOUNG Société d'Avocats in 1999, where he was in charge of the “Corporate Foundations” Department at national level.

BIGNON LEBRAY & ASSOCIES is settling in China

BIGNON LEBRAY & ASSOCIES, one of the main French law firms, has announced the opening of its new office in Shanghai, which affirms its development abroad.

BIGNON LEBRAY & ASSOCIES has also entered into a partnership agreement with BEACON law firm, which is present in Beijing and Shanghai. BIGNON LEBRAY & ASSOCIES and BEACON are both members of Meritas, the international network of independent law firms.

Through this implementation, BIGNON LEBRAY & ASSOCIES wants to play a major role in helping French companies conquer the Chinese market.

BIGNON LEBRAY & ASSOCIES also advises Chinese companies which intend to invest in European and French markets. The Shanghai office is headed by François Perruchot-Triboulet, resident partner, who is aided in his task by Patrick de Brisson de Laroche, attorney-at-law, Sha Sha Liu and Rui Wang, legal advisers. In France, the China team is led by Bruno Lefébure, partner, member of the Bars of Paris and Brussels , who spent six years in Shanghai, between 2000 and 2006. He is assisted by Nicolas Coster and two Chinese attorneys.

Jean-Paul Bignon, a partner of BIGNON LEBRAY & ASSOCIES, was elected Vice-Chair of Meritas.

At the annual Meeting of Meritas, which took place in San Francisco, Jean-Paul Bignon, a partner of the law firm BIGNON LEBRAY & ASSOCIES was elected Vice-Chair of Meritas. He is hence integrating the Executive Committee of Meritas, which is comprised of a Chair and five Vice-Chairs, and presides over the Recruiting Committee whose mission is to recruit new members. His term in office is one year.

Jean-Paul Bignonwas already a member of the Board of Directors of Meritas since April 2006, for a three-year term. BIGNON LEBRAY & ASSOCIES is the French representative of Meritas, an international network of independent law firms whose head office is located in Minneapolis, Minnesota (USA).

Meritas is an alliance of 170 law firms in more than 60 countries that cooperate with each other under a common charter, intended to ensure that the best standards will be met anywhere in the world, in terms of quality, techniques, deadline management and coordination of international matters.

Xavier Lebray was elected President of the Management Board of the law firm BIGNON LEBRAY & ASSOCIES for three years. He is replacing Jacques Goyet, whose mandate expired.

 

 Xavier Lebray intends to pursue the development of the firm’s activities at the international level and promote the effectiveness of civil and continental law as a factor of enhancement of the legal security of companies.

 

 Xavier Lebray, 57, holds a Certificate in Company Management, a D.E.S. in Economics and a D.E.S. in Business Law; he also has a Master’s Degree in Comparative Jurisprudence from New York University. A member of the Paris Bar since 1979, he began his career in 1976 in New York with White & Case, then practiced law at the Parisian office of the latter.

 

He later joined BIGNON LEBRAY & ASSOCIES in 1986. Xavier Lebray mostly advises clients in the areas of Labor Law and Mergers & Acquisitions. Set up 25 years ago, BIGNON LEBRAY & ASSOCIES is one of the major independent French law firms which is comprised of 115 attorneys and legal advisers including 34 partners. It has offices in Paris, Lyon, Lille, Aix-en-Provence and Shanghai.

 

 As part of its global strategy to develop the firm internationally, BIGNON LEBRAY & ASSOCIES which has recently obtained its license to practice law in China Chine, is hence able to guide French and European companies with their investments in China as well as Chinese companies with their investments in France.

Florence Dedieu graduated from the University of Paris II (Assas) where she obtained a Master’s Degree in Corporate Law and a DESS in Corporate and Tax Law.

She started her career in 1987 with Arthur Andersen International / Archibald, a law firm which became EY LAW in 2003 (member of the Ernst & Young network) and in 1991, participated as Manager in the creation of the firm’s Company Law Department then in its development as a Senior Manager.

She specializes in corporate law and company restructuring (mergers and acquisitions, asset transfers), including the coordination of the corporate housekeeping of major French and international groups.

Senior associate of BIGNON LEBRAY & ASSOCIES since 2004, she will now continue to reinforce the expertise and know-how of our Company law and M&A departments.

Clyve Monfredo, 33, graduated from the University of Aix-Marseille where he obtained a Magistère in Corporate Law, Tax Law and Accounting; a DESS in Corporate and Tax Law as well as a Corporate Legal Advisor Diploma. He started his career in 1999 as an attorney at law with Binisti Bouquet Lassalle & Associés and HSD Ernst & Young, in Marseille. He specializes in corporate law, particularly in capital financing transactions (venture capital, expansion capital, LBO) and employee shareholding, as well as company restructuring. Associate of BIGNON LEBRAY & ASSOCIES since 2003, he will now continue to reinforce the expertise and know-how of our company law and M&A departments with regard in particular to capital financing.
