 Since its creation 20 years ago, the Mergers & Acquisitions (M&A) Department of Bignon Lebray & Associés has counseled not only French companies (be they listed on the stock market or not), but also numerous subsidiaries of foreign groups, in the areas of corporate law, stock market law, mergers, acquisitions, and other similar operations.
Our department is at the heart of our five offices and works in close collaboration with the other departments of the firm (tax, labor, environmental law, etc.) in all sectors of the economy.
We represent our French and foreign clients, according to their needs, at every stage of negotiations for the purchase or sale of private or public corporations, transfers, partnerships and joint ventures.
We also advise and represent clients with respect to public offerings, audits and corporate restructuring, acquisition financing, risk capital and development capital, and the management of corporations facing financial difficulties.
Our department also handles litigation linked to operations such as the execution of liability guarantees, lawsuits concerning shareholders’ agreements, etc.

- Operations for corporate restructuring -- partnerships and joint venturesLegal and regulatory structuring, in direct cooperation with our tax team; drafting and negotiation of preparatory contracts (letters of intent, promises of purchase or sale, agreement protocols, drafting of merger contracts, spin-offs, etc.); drafting and negotiation of partnership agreements (joint ventures, shareholders’ agreements, assistance in clients’ post-restructuring).
- Sales and purchases of corporations
Preparation of all corporate documents (by-laws, capital operations, changes of names and directors, transfers of registered offices, closing and opening of secondary offices, dissolutions, liquidations, approval of annual accounts, etc.), assistance in the implantation of foreign enterprises in France and of French corporations abroad, execution of all formalities necessary for these operations.
